1. Overview

These Terms of Service (the "Terms") govern your access to and use of the products, services, software, websites, and APIs provided by Arrowheads Inc. ("Arrowheads", "we", "our", or "us"). By accessing or using our services, you agree to be bound by these Terms. If you are using the services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Changes to the Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by updating the date at the top of this page and, where appropriate, by additional notice. Your continued use of the services after changes become effective constitutes acceptance of the revised Terms.

3. Eligibility and Accounts

You must be at least the age of majority in your jurisdiction to use the services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Use of the Services

You may use the services only in compliance with these Terms and all applicable laws. You must not: (a) reverse engineer or attempt to derive source code from the services; (b) circumvent security or access controls; (c) use the services to develop competing models or services in violation of applicable laws or these Terms; (d) misuse the services to generate or disseminate content that is illegal or infringes on third-party rights; or (e) interfere with or disrupt the integrity or performance of the services.

You are responsible for any content, prompts, inputs, or data you provide ("User Content"). You represent that you have all rights necessary to provide User Content and that your use of the services will not violate any rights of others.

5. AI Outputs and Use at Your Own Risk

Our services may generate outputs using artificial intelligence ("AI Outputs"). AI Outputs can be probabilistic, may contain errors, and should be reviewed by qualified personnel before being used. You are solely responsible for evaluating the accuracy, suitability, and legality of AI Outputs for your use case.

Unless expressly stated otherwise in a separate agreement, we do not claim ownership over your User Content. To operate and improve the services, you grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display User Content as necessary to provide the services. You retain any ownership you have in your User Content.

6. Intellectual Property

The services, including software, models, APIs, designs, and all related intellectual property, are owned by Arrowheads and its licensors. These Terms do not grant you any rights to our trademarks or other brand features. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the services.

7. Third‑Party Services

The services may integrate with or depend on third‑party products or services. Your use of such third‑party services is subject to their terms, and we are not responsible for their content, functionality, or availability.

8. Confidentiality

If you receive non‑public information from us that is marked or reasonably considered confidential, you will use it only to access the services as permitted by these Terms and will not disclose it to any third party without our prior written consent.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR‑FREE, SECURE, OR UNINTERRUPTED, OR THAT AI OUTPUTS WILL BE ACCURATE OR COMPLETE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ARROWHEADS OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNTS PAID BY YOU TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You will indemnify and hold Arrowheads, its affiliates, and their respective officers, directors, employees, and agents harmless from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the services or your violation of these Terms.

12. Termination

We may suspend or terminate your access to the services at any time if we reasonably believe you have violated these Terms or if necessary to protect the services, our users, or third parties. Upon termination, your right to use the services will cease. Sections that by their nature should survive termination will survive, including confidentiality, intellectual property, disclaimers, limitations of liability, and indemnification.

13. Governing Law

These Terms will be governed by and construed in accordance with the laws of the jurisdiction where Arrowheads Inc. is established, without regard to conflict of law principles. Any disputes will be resolved in the courts located in that jurisdiction, unless otherwise required by applicable law.
